A SAFE and convertible note had a baby and Wilson Sonsini Goodrich & Rosati was the midwife- out popped the D-SAFE! 👶🏽🎉 A new #climatetech funding instrument was announced by Elemental Excelerator last week. One of the company’s main goals is to support smaller, up and coming companies during the awkward “Scale Gap” phase between #VC funding and natural growth. It’s called the #DSAFE (Development Simple Agreement for Future Equity) and it aims to aid the process by giving companies a small amount of cash to overcome initial risks and expenses during the developmental stages of a product launch or company. How does it work? D-SAFE has a redemption clause meaning companies can choose to have their payments offered as a loan or convert to equity at the investor’s discretion. Funders and companies will have clear communication and expectations about where the money is going and how it will be applied to either the company or the projects at hand. Financiers and companies will work together with more #transparency, and that’s a great boon for #startups and VC alike. As of this month, Elemental has already invested using D-SAFE in eight different companies, including Dimensional Energy and Origen — both companies investing in innovative and out-of-the-box solutions to environmental issues! A new era of deep tech has emerged. First time funds will raise “unheard of” amounts of capital to fuel next gen deep tech startups - producing outsized, superior returns for LP’s compared to the rest. Prudent investors will act on this data and shift investment strategy as LP’s or risk being left behind savvy wealth managers and CIO’s / FO’s who saw this trend begin 4 years ago.

Christina Farr authored the excellent article (with helpful contributions from Nathaniel Lacktman) on the potential impact of California's proposed law (California AB 3129) banning the MSO-Friendly PC business model for healthcare organizations. The description of the law as a "blunt instrument" is apt and the article is a useful read here: https://lnkd.in/gsDDqGNn The primary concern prompting regulators to pursue such drastic laws is that investor-funded healthcare businesses are driving healthcare costs up and reducing patient care quality. Blanket bans like the proposed law throw the baby out with the bathwater--a very concerning move given the size of California and the tech presence involved with healthcare in the state. I encourage investor-funded healthcare providers to evaluate meaningful strategies to combat this growing perception, sadly abetted by some notorious bad apples. In my work, we have helped organizations adopt the Value-Based Enterprise structure to both align the incentives of management and clinicians with #ValueBasedCare goals and build a governance structure suited to demonstrating progress in controlling costs and increasing medical care quality. There are a lot of great resources to reduce the time and capital investment needed to adopt this business model. We recently participated in a podcast with attorneys from Nelson Mullins Riley & Scarborough addressing just this topic. Riding the Monday tide! So, here is the game, aggressive goals need aggressive steps! Its been a learning advising growth accelerated start-ups. This is a groovy read, although can lawyers convince their clients the importance of this, I would rate at moderately difficult on the difficulty scale! A stable business can any day outweigh accelerated growth business. Speaking of which, stability may not be an issue with India, at least for sometime now. A stable government goes a long way, people have aligned to the ideologies and operate therein - run the familiar terrain! #tech #product #design #designthinking
